Linkeja End-User License Agreement (EULA)

IMPORTANT - READ CAREFULLY: This End-User License Agreement ("Agreement") is a
legal contract between you (either an individual or a single entity) and
Linkeja ("Licensor") for the software product known as "Linkeja"
("Software"), which includes computer software and may include associated
media, printed materials, and "online" or electronic documentation.
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND
BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS
AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE, AND DELETE ALL COPIES IN YOUR
POSSESSION OR CONTROL.
1. License Grant
Licensor hereby grants you a non-exclusive, non-transferable, revocable
license to use the Software solely for your personal or internal business
purposes, subject to the terms and conditions of this Agreement.
2. Restrictions
You may not:
a) distribute, sublicense, rent, lease, sell, or otherwise transfer the
Software to any third party;
b) reverse engineer, decompile, disassemble, or otherwise attempt to
derive the source code of the Software, except as permitted by law;
c) modify or create derivative works of the Software;
d) remove, alter or obscure any proprietary notices or labels on the
Software.
3. Intellectual Property
The Software is licensed, not sold. Licensor retains all right, title, and
interest in and to the Software, including all copyrights, patents, trade
secrets, trademarks, and other intellectual property rights.
4. Fees
The Software is currently provided free of charge during Early Access.
Licensor may introduce paid plans or premium features in the future; any
such fees and related terms will be presented before you are charged.
5. Updates and Support
Licensor may, at its sole discretion, provide updates, upgrades, patches,
or fixes to the Software. Any such updates will be subject to this
Agreement unless accompanied by a separate license.
6. Term and Termination
This Agreement is effective until terminated. Your rights under this
Agreement will terminate automatically without notice if you fail to comply
with any term hereof. Licensor also reserves the right to suspend or
terminate your account or access to the Software at any time, with or
without cause, with reasonable notice where practicable. If Licensor
discontinues the Software or its relay services, Licensor will endeavour
to provide reasonable advance notice. Upon termination for any reason,
you must uninstall and destroy all copies of the Software and
accompanying documentation.
7. Disclaimer of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED
"AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND,
AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER
EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED
WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT
THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE UNINTERRUPTED OR
ERROR-FREE.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR
OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL,
SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION
WITH YOUR USE OF THE SOFTWARE, INCLUDING LOSS OF PROFITS, DATA, BUSINESS
INTERRUPTION, OR ANY OTHER DAMAGES WHATSOEVER, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER
THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU FOR THE
SOFTWARE, IF ANY.
9. Indemnification
You agree to indemnify, defend, and hold harmless Licensor and its officers,
directors, employees, agents, successors, and assigns from and against any
claims, liabilities, damages, losses, and expenses (including reasonable
attorneys' fees and costs) arising out of or in any way connected with:
(a) your breach of this Agreement; (b) your use of the Software; or
(c) any violation of applicable law by you.
10. Export Compliance
You agree to comply with all applicable export laws and regulations of
Bangladesh and any other relevant jurisdictions. You shall not export or
re-export the Software in violation of any such laws.
11. Governing Law; Venue
This Agreement will be governed by and construed in accordance with the
laws of Bangladesh, without regard to its conflict of law principles.
You agree that any dispute arising under this Agreement will be resolved
exclusively in the courts of competent jurisdiction in Bangladesh.
12. Entire Agreement
This Agreement constitutes the entire understanding between you and
Licensor and supersedes all prior or contemporaneous negotiations,
discussions, or agreements, written or oral, regarding the Software.
13. Severability
If any provision of this Agreement is held invalid or unenforceable,
the remaining provisions will continue in full force and effect.
14. Waiver
No waiver of any breach or default will be deemed a waiver of any
subsequent breach or default.
15. Privacy and Data
The Software syncs your most recent clipboard text and transferred files
across your devices via Licensor's relay servers. By using the Software,
you consent to this data handling as described in the Licensor's Privacy
Policy (https://www.linkeja.com/privacy-policy), which is incorporated
into this Agreement by reference. Licensor will handle your data only as
described in that policy.
16. Modifications to This Agreement
Licensor may modify this Agreement at any time. The updated version will
be posted at https://www.linkeja.com/eula with a revised effective date.
Your continued use of the Software after the effective date of any
modification constitutes acceptance of the updated terms. If you do not
agree to a modification, you must stop using the Software and uninstall
all copies.
